Terms of Service & Software License Agreement

These Terms of Service and Software License Agreement (“Agreement”) constitute a legally binding contract between you (“User,” “you,” or “your”) and Mindware Research Institute (“Company,” “we,” “us,” or “our”) governing your access to and use of the ThinkNavi platform and ConceptMiner engine (collectively, the “Service”).

1. Definitions

  • “ThinkNavi” means the web-based AI operating system platform provided by the Company as a SaaS (Software as a Service).
  • “ConceptMiner” means the concept structure modeling engine (GNG-MST) embedded within the Service.
  • “User Content” means any data, text, documents, or other materials that you upload, input, or create through the Service.
  • “Subscription” means a paid or trial plan that grants access to the Service for a specified period.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not use the Service.

3. Service Description

ThinkNavi provides the following core services:

  • Mindware Content — Curated knowledge resources and learning materials
  • Auto Research — Automated data collection and fact-checking tools
  • Thinking Support Chat — AI-powered conversational assistance for analysis and reasoning
  • Model & Explore (ConceptMiner) — Concept structure modeling and visual exploration powered by the GNG-MST engine
  • Concierge Builder — Custom AI concierge creation tools

4. Account Registration

You must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

5. Software License Grant

Subject to this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, including the ConceptMiner engine, solely for your personal or internal business purposes during the term of your Subscription.

You may NOT:

  • Copy, modify, distribute, sell, or sublicense any part of the Service or its software
  • Reverse-engineer, decompile, or disassemble the Service or ConceptMiner engine
  • Remove or alter any proprietary notices, labels, or marks
  • Use the Service to build a competing product or service
  • Use automated tools (bots, scrapers) to access the Service beyond its intended interface

6. Subscription & Payments

  • The Service offers a free trial period as specified at the time of registration.
  • After the trial, continued access requires an active paid Subscription.
  • Subscription fees are billed in advance on a recurring basis (monthly or annually).
  • All fees are non-refundable except as required by applicable law.
  • The Company reserves the right to modify pricing with 30 days’ prior notice.

7. User Content & Data

  • You retain all intellectual property rights to your User Content.
  • You grant the Company a limited license to process, store, and display your User Content solely to provide the Service.
  • The Company will not sell your User Content to third parties.
  • You are solely responsible for the legality, accuracy, and appropriateness of your User Content.

8. AI-Generated Output

The Service utilizes artificial intelligence and machine learning models. AI-generated outputs (including chat responses, research summaries, and concept models) are provided “as is” for informational purposes. The Company does not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for verifying any outputs before relying on them for decision-making.

9. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy. We collect and process personal data as necessary to provide the Service. We implement reasonable technical and organizational measures to protect your data, but no system is completely secure.

10. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe upon the intellectual property rights of others
  • Transmit malicious code, viruses, or harmful content
  • Interfere with the Service’s operation or security
  • Harass, abuse, or harm other users
  • Generate content that promotes illegal activities, violence, or discrimination

11. Service Availability & Modifications

The Company strives to maintain continuous availability but does not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service with reasonable notice. Scheduled maintenance will be communicated in advance when practicable.

12. Intellectual Property

The Service, including all software, algorithms (including the GNG-MST engine), designs, text, graphics, and other materials, is the exclusive property of Mindware Research Institute and is protected by copyright, trademark, patent, and other intellectual property laws.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. THE COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Termination

  • You may terminate your account at any time through the account settings.
  • The Company may suspend or terminate your access for violation of this Agreement.
  • Upon termination, your license to use the Service immediately ceases.
  • You may request export of your User Content within 30 days of termination.

16. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of Japan. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

17. Changes to This Agreement

The Company may update this Agreement from time to time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.
